1. BookedHappy – a hotel direct booking value add platform

BookedHappy LLC. (“BookedHappy”) provides consumers with direct bookings to hotel brand websites plus value adds from partnering businesses in each city on its website (the “website”).

References to the website are deemed to include derivatives thereof, including but not necessarily limited to mobile websites and applications. The Terms & Conditions –as defined below- apply to our services, directly or indirectly made available to you through whatever means, including online reservations, customer service requests or otherwise. By accessing, browsing and using BookedHappy and/or by using BookedHappy to redirect to the hotel brand website, you acknowledge having read, understood and agreed to the Terms & Conditions.

If you do not agree to these Terms, please cease use of the website immediately. The Terms may be amended and supersede any other agreements or understandings (oral or written), between you and us with respect to their subject matters unless explicitly stated otherwise.

2. BookedHappy Services.

The BookedHappy website provides an online direct booking platform through which users can view “value add offers” which will be received once they confirm their reservation with the hotel connected to the offers, shown on the website. Consumers must continue to book directly on the partnering hotel brand website hotel / Accommodation provider. (hotels, resorts bed & breakfasts) (known as the “Accommodation Providers”) can advertise their hotel and rooms for reservation, and through which visitors to the website can make such reservations through one click to the hotel / Accommodation provider / brand website.

When choosing the website and making a decision to direct you to the hotel brand website, you enter into a legally binding contractual relationship directly with the Accommodation Provider chosen by you. BookedHappy acts solely as an intermediary between you and your chosen Accommodation Provider, all booking and payment information is dealt with by the Accommodation provider. We will be included in the reservation email to send said “value add offers”

When rendering our services, the information that we disclose about Accommodations is based on the information provided to us by the relevant Accommodation Provider. We cannot guarantee that, the Accommodations Information is accurate, complete or correct, nor can we be held responsible for any errors (including manifest and typographical errors), any interruptions (whether due to any (temporary and/or partial) breakdown, repair, upgrade or maintenance of our website or otherwise), inaccurate, misleading or untrue information or non-delivery of information.

You are not allowed to re-sell, use, copy, monitor, display, download or reproduce any content or information, software, products or services available on BookedHappy for any commercial or competitive activity or purpose.

The Site does not constitute and should not be regarded as a recommendation or endorsement of (the quality, service level or rating of) any Accommodation listed on BookedHappy. We hereby expressly disclaim any representation, warranty or undertaking in relation to the quality, status or adequacy of any Accommodation listed on BookedHappy.

It is your responsibility to let the Accommodation Provider know any special requests or requirements you have at check-in or contact the hotel and ask specific questions directly.

The Accommodation star ratings are provided for your information only. A star rating is only indicative of the level of comfort you can expect to find in a particular Accommodation, with a higher star rating generally, but not always, being indicative of a higher level of comfort and amenities. The star ratings are based on information we have received from our suppliers, including the Accommodations and we do not independently verify star ratings. Please note that star ratings can vary greatly on the basis of location, subjective differences in taste, local market conditions and practices and star ratings in different countries may not be comparable.

3. Hotel stay and value add usage

Accommodations are liable and responsible for providing accommodation services and welcoming people who have been redirected through BookedHappy as their guests. BookedHappy cannot be held liable in case an Accommodation provider refuses to check you in or asks you to leave for legal or regulatory reasons. BookedHappy can under no circumstances be held liable for any incidents occurring during your stay at the Accommodation and whilst taking part in any activities received through BookedHappy.

The Accommodation provider is not expected in any way to assist with the booking process for value add activities received by the guest and as displayed on BookedHappy unless the value add is an in-house hotel offer. All information is provided in the email from Hello@bookedhappy.com

It is your responsibility to check relevant travel advisories issued by your government for any country you are visiting and take the necessary precautions.

BookedHappy cannot be held liable for any loss incurred in the event of your failure to hold the necessary travel documents for your journey. Also note that some countries have strict rules and regulations on the import of restricted or prohibited goods, items or substances. Non-compliance can lead to severe penalties.

You agree to indemnify and hold harmless BookedHappy from and against any liability, damage or loss including legal fees and expenses that BookedHappy incurs or suffers as a result of any action, inaction or omission by you in case you act for yourself or for a third party.

4. Room rates

BookedHappy does not currently display room rates on the website. We encourage Accommodation providers to give best rates and “Best Rate Guarantee” to ensure the direct booking is capture and converted.

5. Cancellation and no show

By making a reservation with any Accommodation Provider, you accept and agree to the relevant cancellation and no-show policy of that Accommodation Provider, and to any additional terms and conditions of that Accommodation Provider that may apply to your reservation or during your stay, including for services rendered and/or products offered by that Accommodation Provider.

If you wish to review, adjust or cancel your reservation, please revert to the confirmation email in respect of that reservation and follow the instructions.

6. Intellectual Property Rights

Unless stated otherwise, the software required for our services or available at or used by our website and the intellectual property rights (including the copyrights) of the contents and information of and material on our website are owned by BookedHappy LLC UAE & Orange Interactive Technology LLC UAE

BookedHappy LLC UAE & Orange Technology LLC UAE exclusively retains ownership of all rights, title and interest in and to (all intellectual property rights of) (the look and feel (including infrastructure) of) the website on which the service is made available (including the guest reviews and translated content) and you are not entitled to copy, publish, promote, market, integrate, utilize, combine or otherwise use the content. Any unlawful use or any of the aforementioned actions or behaviour will constitute a material infringement of our intellectual property rights (including copyright, trademark and database right).

7. Receiving the BookedHappy value adds

By completing a booking directly on the hotel website, you agree to receive an email containing your value adds shown on BookedHappy from Hello@bookedhappy.com By receiving the value adds in email form, all necessary information to book / arrange / avail will be provided in the email. Consumers should check availability for the said offers if required to avoid disappointment if not available. BookedHappy does not assist in the booking process and is not accountable for availability.

9. Legal

Subject to the limitations set out in these terms and conditions and to the extent permitted by law, we shall only be liable for direct damages actually suffered, paid or incurred by you due to an attributable shortcoming of our obligations.

Whether the accommodation you stay at charges you (or has charged you) for your room you agree and acknowledge that the accommodation is at all times responsible for the collection, withholding, remittance and payment of the applicable taxes due on the total amount of the room price to the relevant tax authorities. BookedHappy is not liable or responsible.

The Terms of Use and the provision of our services shall be governed by and construed in accordance with the laws of the United Arab Emirates. In case of any dispute concerning the Terms of Use, discussions and negotiations will be led and held in English and any and all disputes arising out of or in connection thereto shall amicably be settled as promptly as possible upon consultation between the Parties hereto.
